David Dorr is the Founder of Life-Exchange. Mr. Dorr’s intimate experience with the growing industry of life settlements led him in 2004 to file a patent for the concept of a web-based electronic marketplace for all aspects of the life settlement broker to provider relationship. In addition to Mr. Dorr’s innate business acumen and comprehensive understanding for the past, present and future of the life settlement Industry, Mr. Dorr brings to Life-Exchange an extensive portfolio of exceptional industry relationships and resources.
Mr. Dorr is routinely asked to offer his comments and insights into the life settlement industry and has been asked to speak both in the U.S. and Europe at industry conferences, including the BVZL Conference in Dortmund, Germany, the Life Insurance Settlement Association Conference in New York, and the Emerging Investment Strategies in the Secondary Life Market, Hedge Fund Conference in New York. In addition, his comments have appeared in magazines such as Businessweek and Investment Dealers Digest - “Cantor Eyes Life Settlement Exchange; firm will attempt to create liquidity in controversial, complex market with massive potential”, June 26, 2006. Mr. Dorr has also authored two articles for the Journal of Structured Finance, “Longevity Trading: Bridging the Gap Between the Capital Markets and Insurance Markets,” Summer issue JOSF 2007 and “Extending the Efficient Frontier with Life Settlements,” Summer issue JOSF 2008.
Prior to launching Life-Exchange, Mr. Dorr was Director of Business Development for Life Asset Group. He was introduced to Life Asset Group in early 2003 when it was a start-up operation. In his position as Director of Business Development, Mr. Dorr was instrumental in structuring, staffing and managing every department within the firm, including case management, case coordination, marketing, policy analysis, and business development. In no small part, Mr. Dorr was vital in building Life Asset Group from a startup operation of one employee, to a profitable operation of 22 employees within two years. Life Asset Group is now considered one of the nation’s top three life settlement brokerage firms.

As Vice President of Life-Exchange, Mr. Golden brings his extensive hands-on, cross-sector business experience in identifying and developing unique business opportunities. Before joining Life-Exchange, Mr. Golden provided both long- and short-term consulting services to Fortune 500 clients and entrepreneurial ventures in the areas of product development and commercialization, client development, and audits of business operations across a broad range of diverse industries, including the internet, manufacturing, hospitality, franchising and entertainment. Prior to joining Life-Exchange, Mr. Golden leveraged his extensive experience as a Management Consultant to help clients identify and develop unique business opportunities as well as to rectify ineffectual business operations. Mr. Golden’s areas of expertise include product development and commercialization; client development; and audits of organizational and functional activities. His past clients consist of both Fortune 500 companies as well as entrepreneurial ventures, including Deloitte & Touche, Lois Law, American Lawyer Media, Wasserstein Perella & Co., and Viacom. Companies which Mr. Golden has launched include Golden Artist Colors, Inc., Soup’s On, Inc., Franchise Partners International, and Suzon, Inc.
Mr. Golden is a founder and current Board Member for The Sam and Adele Golden Foundation for the Arts, Inc., an internationally recognized 503C organization founded for the charitable purpose of fostering innovative artistic expression. Mr. Golden is also Managing Director of Writer’s Cramp Productions, an entertainment properties development company. Mr. Golden has extensive knowledge of Web-enabling technologies as well as with software application procurement and development practices. Mr. Golden received his Bachelor of Science degree from Cornell University in 1991.
In January 2008, Mr. Golden authored a white paper outlining the benefits to the Life Insurance Settlement Association (LISA) of developing a SRO (self-regulatory organization) structure for the industry.

| Brian Dorr |

As VP of Longevity Trading, Brian Dorr’s primary focus is on the creation of Life-Exchange features and functionality which closely fit the current and future needs of the life settlement industry. One of Mr. Dorr’s many strengths is his ability to quickly and efficiently condense the numerous life settlement business processes into their constituent parts so that they can readily be translated into an easy to use, highly practical software application.
Most recently, Mr. Dorr was employed by Life Asset Group; one of the nations largest life settlement brokerage firms. While with Life Asset Group, Mr. Dorr was primarily responsible for the creation and management of the firm’s Case Coordination Department. In this role, Mr. Dorr was responsible for interviewing, hiring, terminating, and training all case coordinators and case managers. In addition to his management duties, Mr. Dorr was responsible for sourcing, recommending and implementing software applications to streamline case management. Mr. Dorr was also a member of the firm’s in-house design committee responsible for design and improvements to the firm’s Customer Resource Management system. Over his tenure with the firm, Mr. Dorr cultivated numerous relations with life insurance carriers and life expectancy estimators, and he personally facilitated the brokerage of over $400M in life settlement policies.
Mr. Dorr is currently licensed as a Life Agent/Producer and Life Settlement Broker in over 40 states. He is currently studying for his CLU and CFP licenses.

| Keith Feldman |

Mr. Keith Feldman joined Life-Exchange in January 2008 and he is responsible for coordination and oversight of all regulatory and compliance issues. Prior to joining Life-Exchange, Mr. Feldman spent over 20 years in the securities industry holding various supervisory roles related to back office management and regulatory compliance.
Immediately prior to joining Life-Exchange, Mr. Feldman was a securities compliance consultant specializing in developing and implementing anti-money laundering policies, compliance procedures and mock audits. Prior to his consultation services, Mr. Feldman served as Senior Registered Option Principal and Chief Compliance Officer for Peraza Capital & Investments where he was responsible for coordinating the firm's expansion with FINRA, the SEC and State Offices, and for supervising the firm's principals.
Other positions Mr. Feldman has held over his career include Mortgage Bond Trading Supervisor for Gruntal & Company and Director of Operations and Chief Compliance Officer for Capital International Securities Group, Inc., a multinational Investment Bank where his duties included overseeing operations - including Internet trading - in the U.S., Mexico, and Argentina.
Mr. Feldman attended Long Island University and he holds securities licenses Series 4, 7, 24, 53, and 63, and he is in good standing with FINRA.

Gary co-founded the Prolianze Group, LLC and is a Principal – CFO Advisory Services based in West Palm Beach. As a head of CFO Advisory Services, Gary is responsible for SEC compliance, and CFO services engagements. Gary has over 20 years of experience helping companies with SEC fillings, responding to SEC comment letters, providing CFO / Controller services, and raising funds.
Throughout his career, Gary has gained extensive experience working with all aspects of SEC compliance, evaluation of financing options, road show presentations, and preparation of financial statements. Gary also serves as firm’s subject matter expert on US and International GAAP and other financial reporting issues.
Prior to forming Prolianze Group, Gary served as a chief financial officer at both global and public companies and early-stage private entities. His accomplishments include renegotiation of combined credit lines in excess of $65 million, discontinuation of unprofitable Mexican operations, preparation of financial breakeven forecast for $5.5 billion German parent of US startup, evaluation of financing alternatives for $20 million bond offer, and preparation of $10 million subscription rights offer. Gary also served as Audit Manager for Price Waterhouse and Touché Ross from March 1973 to May 1981.
Gary holds a Bachelor degree from Florida International University and MBA from Barry University. Gary is also a Certified Public Accountant with active license in Florida.

Tushar Batra is the co-founder of the Prolianze Group, LLC and heads up the Risk and Compliance Services at Prolianze. Based in Fort Lauderdale, he is responsible for Sarbanes Oxley compliance and Internal Audit engagements. He has over 10 years of experience providing internal audit and business process improvement services and has assisted companies with their Sarbanes Oxley compliance efforts since 2003.
Prior to Prolianze, Tushar worked for Deloitte providing SOX compliance and internal audit services and for Carnival Cruise Lines providing business process improvement and other internal audit services. Over the years, Tushar has served clients ranging from $20 million to $400 million in revenue.
Tushar's innovative and creative approach towards each engagement has resulted in comprehensive recommendations that streamline operations, increase revenues, and reduce costs.
Tushar is a Certified Internal Auditor (CIA), Certified Information Systems Auditor (CISA), Certified Fraud Examiner (CFE), and Certified Management Accountant (CMA). Tushar holds a bachelor degree from Delhi University, India and MBA from Fuqua School of Business, Duke University.

Since 2004 Justin Tarrants has been a Trade Commissioner with the Department of Foreign Affairs and International Trade Canada. As a Trade Commissioner, Mr. Tarrants assists Canadian technology, aerospace and defense companies by developing strategic partnerships, alliances and advocacy efforts in the Florida and Latin America region. In addition to business development, Mr Tarrants also assists companies with international compliance and deals directly foreign government agencies and buyers in the region to facilitate international business transactions.
Prior to joining the Trade Commissioner’s Service Tarrants was a International Business Auditor with the Geneva based Swiss firm of “Société Générale de Surveillance”. As an auditor he managed several foreign government sub-contracts and helped revenue agencies recover nearly $60 million USD in unpaid taxes as a result of his investigations during a two year period.
Mr. Tarrants has also spent significant time in Washington DC where he worked for an international law firm managing government relations and trade compliance for several industry associations. He also completed his internship in Washington DC at the US Department of Commerce’s International Trade Administration.
During the tech boom of the late nineties, Mr Tarrants worked as a business intelligence analyst for a California based technology research firm where he reviewed new technologies in the digital media, internet, and wireless areas. Mr. Tarrants continues today to be passionate about new technologies and considers himself to be a “futurist” in this regard; closely following trends in quantum computing, nanotechnology, biotechnology, alternative energies and analyzing how these new technologies will affect future market economies.
Mr. Tarrants holds a BA in Global Studies from California State University Monterey Bay and a Masters in International Policy Studies from the Monterey Institute of International Studies. He is also fluent in Spanish and Portuguese. He is married to his wife Imyra of nearly 8 years and resides between Miami Florida and Rio de Janeiro Brazil.
